Board of Directors

The Board of Directors of Sunborn International Plc is responsible for the company’s strategy and for the monitoring of its implementation in the company’s business and management. Further, in line with the company’s Articles of Association and the Finnish Companies Act, the Board represents the company and is responsible for the appropriate organisation of its operations and for the appropriate arrangement of the control of the company accounts and finances.

Board of Directors Charter

The Charter of the Board of Directors of Sunborn International Plc outlines the governance framework and responsibilities of the Board in ensuring the Company’s strategic direction, regulatory compliance, and long-term value creation. Operating under Finnish corporate law and Nasdaq Helsinki’s First North Growth Market rules, the Board oversees the Company’s strategic planning, financial oversight, and executive leadership, including appointing the CEO and setting management incentives.

The Board comprises 3–7 members elected annually, with a focus on independence, diversity, and competence across key sectors. Members are expected to act solely in the interest of the Company and its shareholders, with a strong emphasis on ethical conduct, confidentiality, and sustainability.

The Board does not currently maintain permanent committees but may establish them as needed. Regular self-assessments ensure effectiveness and alignment with stakeholder expectations. Key duties include setting financial targets, approving major investments, monitoring risk management, and ensuring transparent shareholder communication.

The Chair leads the Board’s work and interaction with stakeholders, while meetings may be held physically or virtually. Board operations emphasize accountability, transparency, and continuous improvement in corporate governance.
